Terms and Conditions

These General Terms and Conditions (GTC) apply to the use of the PriceAI web application and the associated website and services provided by SEO-DAY GmbH.

By registering, signing in, or using PriceAI, you agree to these terms. Conflicting or supplementary terms proposed by the user do not become part of the contract unless their validity is expressly agreed to in writing.

PriceAI is a software-as-a-service platform for automated price and data extraction. Users can store article lists, platform credentials, and other configuration; PriceAI runs queries in the background and presents results in the dashboard.

The services include in particular:

• Provision and operation of the PriceAI web application and related user interfaces
• Automated querying and processing of price and product data according to user configuration
• Management of article IDs, platform access, and export functions within the booked scope of services
• Technical support and maintenance within the usual scope of a SaaS offering

The specific functional scope is defined by the applicable product description, the selected plan, and the features available at the time of use. SEO-DAY GmbH may develop or adjust functions provided the core contractual purpose of the platform is not materially impaired.

The contract for use of PriceAI is concluded upon successful registration or upon express acceptance of these GTC and activation of a user account.

By registering, the user submits a binding offer to conclude a usage contract. SEO-DAY GmbH confirms conclusion of the contract by activating the account or by express confirmation by email.

SEO-DAY GmbH reserves the right to reject registrations without stating reasons, in particular in cases of abusive use, lack of authorization, or breach of these GTC.

Where paid plans are offered, prices are quoted in euros and include statutory value-added tax unless stated otherwise.

Payment is due according to the due date and payment method specified in the order or plan process. For recurring fees, the contract renews for the selected term unless terminated in due time.

In the event of late payment, default interest at the statutory rate and reminder fees to the extent permitted are payable. SEO-DAY GmbH reserves the right to claim further damages.

The user may offset only against undisputed or legally established claims.

The user may terminate the contract at any time with effect at the end of the current billing period unless a different minimum term is agreed in the plan. Receipt of termination by SEO-DAY GmbH is decisive.

For paid plans with a minimum term, fees due until the end of the term remain payable unless statutory withdrawal or termination rights apply.

In the event of serious breaches of these GTC, applicable law, or abusive use of the platform, SEO-DAY GmbH may temporarily suspend access or terminate the contract extraordinarily.

After the contract ends, user data is deleted or anonymized in accordance with the privacy policy and statutory retention periods, unless legitimate retention obligations apply.

SEO-DAY GmbH is liable without limitation for intent and gross negligence and in accordance with product liability law.

In cases of slight negligence, SEO-DAY GmbH is liable only for breach of essential contractual obligations (cardinal duties). In that case, liability is limited to foreseeable, typically occurring damage.

The above limitations do not apply to injury to life, body, or health. Liability under product liability law remains unaffected.

SEO-DAY GmbH does not warrant the accuracy, completeness, or timeliness of third-party price and product data retrieved via PriceAI where such data originates from external platforms outside SEO-DAY GmbH's control.

SEO-DAY GmbH collects and processes personal data in connection with providing and using PriceAI.

All content, software, interfaces, and documentation provided on the website and in PriceAI is protected by copyright unless marked otherwise.

Reproduction, distribution, public access, or other use requires prior written consent from SEO-DAY GmbH or the respective rights holder, unless statutory limitations apply.

The user is granted a simple, non-transferable right of use for the duration of the contractual relationship within the agreed scope of services. Sharing access credentials or commercial reuse outside the contractually intended purpose is prohibited.

SEO-DAY GmbH reserves the right to amend these GTC with future effect where objective reasons require this (e.g. changes in law, product development). Amendments are published on this page.

For existing contractual relationships, amended GTC apply once the user has agreed to them or has not objected within a reasonable period after proper notification.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of the EC Convention on the law applicable to contractual obligations.

Place of performance and exclusive jurisdiction for all disputes arising from this contractual relationship is, where the user is a merchant, a legal entity under public law, or a special fund under public law, the registered office of SEO-DAY GmbH in Leverkusen.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose.

No oral side agreements exist. Amendments and supplements to these GTC require written form. This also applies to waiver of this written-form clause.
